Welcome to Resolv Social. These Terms of Service (“Terms”) govern your use of the Resolv Social application and website (collectively, the “Service”), operated by Real EmPowerment Solutions, LLC (“REPsolutions,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. No Access to Emergency Services

Resolv Social is not an emergency service and does not provide access to emergency services. If you are experiencing a medical emergency, mental health crisis, or are in danger, please call 911 (or your local emergency number), contact the 988 Suicide & Crisis Lifeline by calling or texting 988, or go to your nearest emergency room.

Resolv Social is a peer support platform and is not a substitute for professional medical or mental health treatment. We cannot guarantee the availability of the Service at any time.

2. Eligibility and Age Requirement

You must be at least 13 years of age to use Resolv Social. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Not Medical Advice

The Service is a peer support platform that facilitates community discussions about mental health and wellness. The Service does not provide medical advice, diagnosis, or treatment. Content on Resolv Social, including posts, messages, and any information provided by other users or experts on the platform, is for informational and peer support purposes only and should not be considered a substitute for professional medical advice.

Always seek the advice of a qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read or heard on Resolv Social.

4. Expert and Professional Use

Resolv Social may allow verified professionals and experts to participate on the platform. Professionals who use the Service agree to comply with all applicable professional standards, codes of ethics, and licensing requirements. Any information provided by professionals on the platform does not establish a provider-patient relationship and is not a substitute for in-person professional care.

REPsolutions does not verify, endorse, or guarantee the qualifications, credentials, or advice of any user who identifies as a professional or expert on the platform.

5. User Accounts

When you create an account on Resolv Social, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate information when creating your account (to the extent required)
  • Notify us immediately of any unauthorized use of your account
  • Not share your account credentials with any third party
  • Not create more than one account for the purpose of circumventing bans, suspensions, or other enforcement actions

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms.

6. User Content and Licensing

You retain ownership of any content you post, upload, or otherwise make available through the Service (“User Content”). By posting User Content, you grant REPsolutions a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, distribute, display, and perform your User Content in connection with operating and providing the Service.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third party's rights or any applicable law.

7. Proprietary Rights

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Real EmPowerment Solutions, LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of REPsolutions.

8. Prohibited Uses

You agree not to use the Service to:

  • Harass, bully, intimidate, or threaten any other user
  • Post content that is hateful, discriminatory, or promotes violence
  • Impersonate any person or entity or falsely represent your affiliation
  • Post spam, advertisements, or unauthorized commercial content
  • Share other users' personal information without their consent
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service
  • Use any automated system, including bots, scrapers, or crawlers, to access the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Post content that is illegal, obscene, or otherwise objectionable
  • Encourage or instruct others to engage in self-harm or illegal activity
  • Violate any applicable local, state, national, or international law

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. REPSOLUTIONS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REPSOLUTIONS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

11. Indemnification

You agree to defend, indemnify, and hold harmless REPsolutions and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

12. Arbitration and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

You and REPsolutions agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in the English language and will take place in the United States.

CLASS ACTION WAIVER: YOU AND REPSOLUTIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and REPsolutions agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

13. DMCA — Copyright Policy

We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please send a notice of claimed infringement to our designated agent with the following information:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and where it is located on the Service
  • Your contact information, including your address, telephone number, and email address
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

16. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
